Contract with Money For My Data Inc.(last updated: May, 2012)

By clicking "I accept" box at left , I accept terms of use and agree to the following:

1. That I have joined MoneyForMyData.com and hereby assert my ownership of all of my personal data.
2. That I hereby am entering into a legal agreement with MoneyForMyData.com (and its parent company Pridatco Inc., the Private Data Corp.) that acknowledges my ownership of my personal data and grants MoneyForMyData.com the exclusive right to represent me as my agent in the marketing of those portions of my personal data for which I give marketing permission.

3. That I appoint MoneyForMyData.com (and Pridatco) as my agent to maintain secure control and possession of all my personal data located in my record at MoneyForMyData in which I claim property rights. These include survey data that I have presented and data contained in public records or from other sources, which data is created by me, my transactions or otherwise based on my identity. In acknowledgement of my right to share in the net profits derived from my data, I also grant my agent by virtue of this agreement an interest in the property that is the subject of the agency, while I retain full ownership rights in the data.
   

4. That both sides agree, in the event I wish to terminate my membership, the interests granted under Terms of Use are not terminated, expired or revoked to the extent of data records created before the date of termination, and likewise are not terminated for prior recorded data due to my death. Both parties agree that payments following death become the property of my estate. .

5. That I consider any sale, lease or license or other use of my personal data by any other person or entity to be a violation of my privacy and data ownership rights and contrary to my enjoyment of data privacy and the economic value of my data.
6. That MoneyForMyData.com, with my full and complete permission, agrees to pool, package and market the contents of its onsite surveys for which I give permission and which are freely supplied, with the personal information of other members of the website and that MoneyForMyData agrees to pay, and I agree to receive, a pro-rated share of the net proceeds of such sales.
7. That MoneyForMyData.com will grant me access to its models and letters that help ensure my privacy and will assist with identity theft, medical privacy, vehicle and mobile-telephone data ownership and other assertions of my personal information as developed by MoneyForMyData in the future (although I acknowledge that some of these activities or materials may be optional and could come at an additional charge). This website does not charge members for any of its products or services and has no plans to do so in the future.
8. That I have read and accept these Terms of Service.
9. Each member of my family, with digital signature below, asserts the same rights, agrees to the terms and conditions and enters into the same contract with MoneyForMyData.com, a division of Pridatco Inc.

This site (MoneyForMyData.com) is free to use with the exception of certain areas requiring registration, clearly indicated. It is neither intended nor offered as legal advice. Additional information and our products and services are offered at MoneyForMyData.com, a division of Pridatco Inc. a Georgia corporation, and is not a law firm or legal service. All advertisers pay to appear on this site, and all advertisements should be treated as advertisements. We make no attempt to verify the capabilities or claims of the advertised products or companies unless so stated. If a company is named as a partner, we do have a relationship with that entity and have tested their identity and the capabilities of their products and services. You should obtain references from them and/or exercise due diligence before purchasing or retaining their services. We do not offer any warranties of any kind regarding partner products or services. Use of the site demonstrates an understanding of these terms and implies that you understand and agree with them.

Marketing Representation User desires to enroll and register with the MoneyForMyData website for the purpose of warehousing his/her personal information and to license such information exclusively with MoneyForMyData.com. It is the intention of the user to grant this agency authority to MoneyForMyData.com and to conduct certain other businesses relating to such activities. You hereby grant an exclusive license to MoneyForMyData to collect, package, sell, lease or license the marketing and other data (demographic, lifestyle, profile, GPS, location, transactional and other) and any other data that you decide to deliver to the company’s database through periodic surveys or by any other method or media in use today or hereafter developed.  

Agent – Principal Relationship 

The relationship between MoneyForMyData and the member in regard to a member's data, identity and information is one of agent-principal. The member (principal) expressly appoints the company as his/her general agent to represent the member in the collection, storage, aggregation and marketing of all data specific to the member. In return for this appointment and to encourage the continued sharing of member data for this purpose, the company (agent) will pay the principal a portion of the profit derived from marketing the da ta's economic value. The primary data collection method is the presentation of periodic surveys to members. Offering data by answering survey questions is not mandatory for membership, but note:

1. The benefits of data ownership and compensation for marketing this data are based upon the member's participation.
2. Survey questions unanswered do not generate property rights nor monetary returns in such questions; these restrictions also apply when the member specifically opts out and does not give permission to use the data.
3. The member receives one point for every answer with opt-in. Point totals are used to calculate the member's pro-rata profit-sharing amounts compared to all points held by all members. The website may periodically award additional points to be earned by all members in any particular class. Some questions may also earn more than one point based on a higher value for the information compared to other questions.
4. Members who do not participate in half or more of survey questions presented may be subject to having their membership terminated.

AGENT DUTIES AND INDEMNIFICATION:

It is the agent's duty to store the principal's information and to act for and on behalf of the principal in enhancing the privacy of the principal regarding his or her data. The agent will neither intentionally nor negligently cause damage to the principal in this regard. Agent will use reasonable care and skill in performing these duties. The agent will keep the principal informed as to all facts that materially affecting the agency relationship. The principal agrees to indemnify agent in any instance of damage due to use of their data. Principal will also indemnify and hold us (and our officers, directors, agents, subsidiaries, joint ventures and employees), harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this agreement, or your violation of any law or the rights of a third party.

INFORMATION WE MAY COLLECT ABOUT YOU WHILE FULFILLING OUR DUTIES AS AGENT INCLUDE:

• Information You Give Us. We receive and store any information you enter on our website, through registration, surveys and other forms, or give us in any other way. This may include you name, the company you work for, postal address, email address, telephone number, marketing preferences, and other information.

• Information From Other Sources. We may receive information about you from other sources. In order to fulfill our duties to collect and store your data, we may access your publicly available data from any source. Such data will be stored will all your other data, owned by you and accessible to you for review or correction at any time. This website does not warrant the correctness of any data obtained from outside sources and cannot effect any changes to this data at its original source. We will provide, on a best efforts basis and to the extent such action is legal, the origin of such data for your information.

• Automatic Information: We receive and store certain types of information whenever you interact with our websites. For example, like many websites, we use "cookies," and we obtain certain types of information when your web browser accesses our or affiliated websites. This may include individual and aggregate visitor preferences and session information, as well as information such as your IP address and the browser you are using.

• BY CLICKING “I Accept Terms of Use” ON THIS PAGE, YOU ARE CONSENTING TO BE BOUND BY THE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT CLICK THE "ACCEPT" BUTTON, AND DO NOT USE ANY MATERIALS ON THIS WEBSITE.

• NOW, THEREFORE, in consideration of the mutual covenants and conditions set forth herein and other good and valuable consideration, the receipt and sufficiency aof which are hereby acknowledged, the parties to this Agreement do hereby agree as follows:

• LICENSE GRANT: MoneyForMyData grants you a non-exclusive license to access and use the materials on this website. The logo may not be altered in any way. This agreement and license will also govern any content upgrades provided by MoneyForMyData that replace and/or supplement the original site or products, unless such upgrades are accompanied by a separate license, in which case the terms of that license will govern.

• DATA CONTROLS. The user will be presented with periodic surveys to collect the personal data populating the MoneyForMyData database. You may decide what data you wish to offer by taking or not taking the surveys offered. Because the property rights benefits and profit-sharing both depend on your participation in surveys and your agreement to store your data as opt-in information in the website, failure to take any of the surveys offered is grounds for terminating your account. Failure to allow any of your data to be used for marketing purposes (by opting in with YES on survey questions) is also grounds for termination of your membership by the company. The company agrees to grant access to the users’ records in the database for review, updating or correction, such access to be solely available to the user and no other person or entity, using such methods as will be determined on a reasonable basis considering the technological requirements of the website. You will also have the ability to opt out of including any specific data in the marketing data products sold by MoneyForMyData (or other name owned by the Company). Remember that sharing in profits and gaining property rights in your data ONLY APPLY to correct data, maintained over time to remain correct and for which you choose to opt-in (YES to share in advertising).

• DATA COLLECTION METHODS. We collect personal and non-personal information in order to offer or provide goods and services to our members. We may obtain this information from a variety of sources:

• Directly from your surveys, customer applications, questionnaires and other materials submitted to us by you;

• From activity on our websites (including the use of "cookies", discussed below);

• USE OF COOKIES

• A "cookie" is a small text file placed on your computer's hard drive by a web server and which is acknowledged by your web browser. We use cookies for a variety of purposes, including, but not limited to the following:

  • 1. To assist us in providing our services to you;

  • 2. To allow you to change pages during your visit to our website without repeatedly having to re-enter your password;

  • 3. To track activity on our website;

  • 4. To determine whether you came to our site from a banner ad or an affiliate website; or

• PROFIT PARTICIPATION. The parties agree points will be recorded for answers to survey questions. These points will be used to determine profit participation. Participation paid will be deposited to your account periodically, not less often than quarterly. The amount of this participation will not be less than fifty percent of pretax net profit from sales of the data products, subject to amendment by the board of directors and shareholders in the event of public trade of the corporation’s stock.

• TERMINATION BY COMPANY. If you breach this agreement, your right to use the logo and products, letters and emails will terminate immediately and without notice, but all provisions of this agreement except the license grant will survive termination and continue in effect. Upon termination, you must destroy all copies of the logo and template letters/emails and any other products on the website or download from the website. 

• TERMINATION BY MEMBER. A member may terminate their membership at any time by sending a written, signed request to the company. We will contact such member and verify this request. The company will then make final payment of any amounts still in the member's account, will delete the member's records and collect no further survey or third party data. The company will also send the member a certificate of deletion to member's last known email address. Member understands and agrees that the company cannot remove member's aggregated information from data products produced prior to member's termination request and that the company has a right to the continuing use of these prior records in perpetuity, unaffected by the change of circumstances or death of such member. 
  
  PROPRIETARY RIGHTS. Nothing in this agreement will be construed to limit any rights granted under this license. Subject to the foregoing, the company reserves all intellectual property rights in its services and products, except for the rights expressly granted in this agreement. You may not alter any trademark, logo, copyright or other proprietary notice in or on the template letters/emails or other products on the website.  

• DISCLAIMER OF WARRANTY. THE PRODUCTS AND LETTERS ARE PROVIDED "AS IS" WITH ALL FAULTS. TO THE EXTENT PERMITTED BY LAW, MoneyForMyData HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES THAT ANY PRODUCT ON THE WEBSITE IS FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE AND NON-INFRINGING. YOUR ACCOUNT

If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. If you are under 18, you may use the website only with involvement of a parent or guardian. The company reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.

Account Protection

Your password is the key to your account. Use unique numbers, letters and special characters, and do not disclose your password to anyone. If you do share your password or your personal information with others, remember that you are responsible for all actions taken in the name of your account. If you lose control of your password, you may lose substantial control over your personal information and may be subject to legally binding actions taken on your behalf. Therefore, if your password has been compromised for any reason, you should immediately notify the Website and change your password.

Protecting Your Personal Information. In addition to protecting your password, you should also take precautions to protect your personal identification information, such as your driver's license, Social Security number, or tax identification number. This information by itself or together with account information may allow unauthorized access to your accounts. You should treat personal information with the same level of care that you would for your account information. You should also protect and secure all information and data stored in any personal computer or other equipment you use to access this website.

CLOSING, FREEZING ACCOUNTS OR LIMITING ACCOUNT ACCESS. MoneyForMyData reserves the right to terminate any member account for any reason at any time. We may limit access to a member account for any one of the reasons listed below:

• (1) Reports of unauthorized or unusual bank account use associated with the account.

• (2) Sending unsolicited email or posting referral links on websites where they are not permitted.

• (3) Opening multiple personal accounts.

• (4) The account has been used in or to facilitate fraudulent activity.

• (5) Violations of this user agreement.

• (6) Return of an incoming Electronic Funds Transfer for insufficient funds in the bank account, incorrect bank routing number, or incorrect bank account number.

• (7) Receipt by company of excessive complaints regarding your account, business or service.

• (8) You use your account to collect funds for stolen or fraudulent merchandise.

• (9) Failure to actively participate in surveys received.

• (10) Failure to update information in your record that changes.

We will use reasonable efforts to investigate accounts that are subject to account access limitations and to reach a final decision on the limitations promptly. If your account is restricted, all funds will be held for a period of 180 days as the norm. However depending on the reason of restriction, it may be held for a lesser period which will be determined at the discretion of the account specialist. By following these rules, you can help protect your account from being limited.

Notices and Communications. Except as otherwise provided in this agreement, all notices required to be sent to you will be effective when we post such notice on the website or email them to the last known email address that we have for you in our records or when we otherwise make such notices available to you through electronic means. All notices and communications sent by you to us will be effective when we have received them and have had a reasonable time to act on them. You agree to notify us promptly of any change in your mailing address, email address or telephone number.

Recording. You agree that we may tape record any telephone conversations you have with us regarding the services covered by this agreement. However, we are not obligated to do so and may choose not to in our sole discretion.

Attorney Fees. If we become involved in legal action to defend or enforce this agreement, you agree to pay our reasonable attorneys' fees and court costs, to the extent not prohibited by law.

MISCELLANEOUS.

(a) This agreement constitutes the entire agreement between the company and you concerning the subject matter hereof, and it may only be modified by a written amendment signed by an authorized executive of the company.

(b) Except to the extent applicable law, if any, provides otherwise, this agreement will be governed by the laws of the state of Georgia, U.S.A., excluding its conflict of law provisions.

(c) If any part of this agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect.

(d) A waiver by either party of any term or condition of this agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof
